iQ Storefront | Beta Terms and Conditions

These iQ Storefront Beta Terms and Conditions (“Beta Terms”) govern your participation in the iQ Storefront Beta program (“Beta”) provided by iQmetrix Software Development Corp., iQmetrix USA Inc., or another iQmetrix entity. For purposes of these Beta Terms, (“iQmetrix,” ​“we,” or ​“us”) refers to the iQmetrix entity with which you have a contractual relationship, and (“Customer” or ​“you” or ​“your”) refers the individual or entity accessing or using the Beta.

These Beta Terms supplement any agreement, master services agreement, order(s), and product schedule(s) between you and iQmetrix (collectively, the ​“Agreement”). Capitalized terms used herein but not otherwise defined in the Beta Terms have the meaning ascribed to in the Agreement. If there is a conflict between these Beta Terms and the Agreement, these Beta Terms control for the Beta. 

1.Enrollment and Acceptance:

The iQ Storefront Beta program is a pre-release program that allows Customers to deploy and evaluate the iQ Storefront solution at participating retail locations. You may enroll one or more of your physical locations (each a ​“Location”) in the Beta for the purposes of evaluation or limited live use. 

Each Location may be equipped with one or more supported payment devices, such as the iQ Reader (each, a ​“Device”), which iQmetrix will provide at no initial cost to you. Each Location that receives a Device must complete at least one successful transaction using that Device within thirty (30) days of delivery. Failure to do so will result in the application of a non-activation fee of ninety-nine dollars (US $99) on the Customer’s next invoice. Any exception to this requirement must be approved in writing by iQmetrix prior to the expiration of the thirty-day activation period.

To participate, your authorized administrator must enroll each Location and Device. Activation of the Beta for any Location or Device requires your administrator’s express acceptance of these Beta Terms. Until such acceptance is recorded, iQ Storefront access and payment functionality will remain disabled for that Device.

Acceptance for each Device will be electronically recorded, including user ID, timestamp, and IP address. Your authorized administrator must affirmatively select the acceptance checkbox to enable solutions for each Device.

2. Right to Access and Permitted Use:

Upon successful enrollment and acceptance, and subject to these Beta Terms, iQmetrix grants you a limited, non-exclusive, non-transferable, revocable right, to access and use the hosted Beta service, together with the Device, during the Beta period, solely for internal business operations. 

All intellectual property rights in and to the Beta and any related software, documentation, or materials remain the exclusive property of iQmetrix. You retain all right, title, and interest in and to your data.

Fees and Payment: 

The following Beta pricing applies per Location:

iQ Pay Rates:

If you have executed a separate iQ Pay Amendment or other pricing agreement, those terms shall govern your applicable rates.

Sales Tax Automation Fees:

All billing, invoicing, and payment procedures applicable to the Beta shall be administered in accordance with the corresponding terms of your Agreement with iQmetrix. For clarity, the Agreement governs general commercial and payment processes, while these Beta Terms govern participation in and use of the Beta. In the event of any conflict between the two, these Beta Terms shall control solely with respect to the Beta.

3. Support and Updates:

Beta-level support is available at [support link]. iQmetrix may deploy updates, patches, or feature changes to the Beta without prior notice. You acknowledge that these updates may affect the availability or performance of the Beta from time to time.

Termination

iQmetrix may, at its discretion, suspend or terminate your participation in the Beta, in whole or in part, if you: (a) breach these Beta Terms or any applicable Agreement; (b) fail to make required payments when due; or (c) engage in, or we reasonably suspect, fraud, abuse, or misuse of the Beta.

We may modify, suspend, or discontinue the Beta, or any part of it, at any time and for any reason, without notice or liability to you. Any suspension or termination will not relieve you of any payment obligations accrued prior to the effective date of such action.

Confidentiality:

You acknowledge and agree that all information relating to the Beta, including features, functionality, performance data, feedback, and documentation, constitutes confidential and proprietary information of iQmetrix (“Confidential Information”).

You must maintain Confidential Information in strict confidence and use it solely for the purpose of evaluating the Beta. Any unauthorized use or disclosure of Confidential Information will constitute a material breach of these Beta Terms and may cause irreparable harm to iQmetrix.

4. Liability and Warranty: 

The Beta, including any third-party integrations, features, or services made available or surfaced through the Beta, is provided ​“AS IS” and ​“AS AVAILABLE.” iQmetrix makes no representations or warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation any warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or uninterrupted availability. To the maximum extent permitted by law, iQmetrix shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your access to or use of the Beta or any third-party integrations. The Beta may contain bugs, errors, or incomplete features. 

Certain Beta features may interoperate with or rely upon services, content, data, or systems maintained by independent third-party providers. iQmetrix does not control and is not responsible for those providers or their outputs, content, operations, or compliance practices, and expressly disclaims any and all liability arising therefrom. 

In no event shall iQmetrix’s total aggregate liability arising out of or relating to the Beta or any third-party integrations exceed the greater of ten thousand Canadian dollars (CAD $10,000) or the total amount paid by you to iQmetrix for the Beta during the twelve (12) months immediately preceding the event giving rise to the claim, whichever is greater.

5. Feedback and Data Collection: 

You agree to provide feedback, suggestions, and enhancement requests regarding the Beta which iQmetrix may use to improve the Beta. You acknowledge and agree that iQmetrix may collect and analyze usage, performance, diagnostic, and error data in connection with your access to and use of the Beta, in accordance with the iQmetrix’s Privacy Policy.
